These Terms of Service (“Terms”) govern your access to and use of our Services, including our website, workshops, certification courses, webinars, applications, office hours, tools and features, training materials (provided online or in person), and other products and services (collectively, the "Services") By using the Services you agree to be bound by these Terms. By using or accessing our Services, you agree to be bound by these Terms, including privacy and cookies policies referenced in these Terms.

Please read this Agreement carefully.

By registering for any Live Oak Service, you confirm that you may contract with Live Oak for the those services. When you sign-up for Live Oak services, such as registering for a workshop or webinar event or provisioning on-site consulting or off-site Office Hours, you must provide us with accurate and complete information.  Our Services are not intended for and may not be used by children under the age of 18.

Third Party Services

Live Oak Services are integrated with various third party services and applications (collectively, "Third Party Services"). Examples of Third Party Services include our Payment Processors (such as Stripe) and other integration partners and service providers (such as Squarespace, MailChimp). These Third Party Services have their own terms and policies, and your use of them will be governed by those terms and policies. In addition, when you use Live Oak Services, you may find links to other websites that we don't own or control. We are not responsible for the content or any other aspect of these third-party sites, including their collection of information about you. You should also read their terms of service and privacy policies and cookie policies.

Any redistribution or reproduction of part or all of the contents in any form, such as training handouts, is prohibited other than the following:

  • you may print or download to a local hard disk extracts for your personal and non-commercial use only

You may not, except with our express written permission, distribute or commercially exploit the content. Nor may you transmit it or store it in any other website or other form of electronic retrieval system. Live Oak intellectual property is protected by relevant copyright, trademark, and other laws of both the United States and other countries. You are prohibited from using the Live Oak names or any of the Live Oak trademarks, logos, trade dress, domain names, or other distinctive brand features.

You shall NOT disseminate any intellectual property internally to individual who are not paid participants of Live Oak Services or externally to any other third parties, except as authorized in writing by Live Oak; and

You shall NOT remove any notice of copyright, confidentiality, proprietary, or other notice of ownership or attribution from any intellectual property.

Audio and Video Recording

Audio and video and digital recording and any and all other means of recording Live Oak Training Events (workshops, webinars) and during the course of any and all other Live Oak Services such as office hours are strictly prohibited. 

By registering for a Live Oak Service, you authorize us to record and photograph you and to use the recordings/photographs in all formats and media for any purpose, including for education, marketing and trade purposes. In doing so, you release Live Oak from all claims arising out of the use of the recordings/photographs, including without limitation all claims for compensation, libel, invasion of privacy or violation of copyright ownership.

Cancellation and Substitution

Workshops. Cancellations received 10 or more days prior to the Live Oak Workshop start date may receive a refund minus a USD $100 processing fee. No refunds will be given within 10 days of the workshop start date. However, substitutions may be permitted. Please submit requests for refunds or substitutions to info@liveoakqa.com. Live Oak reserves the right to cancel workshops and is not responsible for any airfare, hotel or other costs incurred by registrants.

Webinars. Full refunds of registration fees for Live Oak Webinars will be made with cancellations received more than 24 hours prior to the webinar's start time. Refunds are not provided for no-shows nor for cancellations received within 24 hours of the start of the Webinar.

You also recognize that cancellation may occur due to events beyond your or our reasonable control and certain terms may apply:

Force Majeure. Neither Party shall be held liable or responsible to the other Party or be deemed to have defaulted under or breached any Agreement for failure or delay in fulfilling or performing any term of any Agreement when such failure or delay is caused by or results from causes beyond the reasonable control of the non-performing Party, including fires, floods, earthquakes, embargoes, shortages, epidemics, quarantines, war, acts of war (whether war be declared or not), acts of terrorism, insurrections, riots, civil commotion, strikes, lockouts or other labor disturbances, acts of God or acts, omissions or delays in acting by any governmental authority.

Live Oak reserves the right to postpone workshops or other Services due to events beyond our reasonable control and is not responsible for any airfare, hotel or other costs incurred by registrants.

Feedback & Questions Submitted by You to Live Oak

Any information provided regarding Live Oak or the Services is entirely voluntary and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you. Please feel free to submit questions or comments at any time to info@liveoakqa.com for inclusion in the Live Oak Newsletter and other discussion forums sponsored by Live Oak. 

Paid Services and Fees

Fees. You can access certain portions of Live Oak Services (such as via "Registration" for a Live Oak workshop, webinar, or eLearning course) by submitting a fee payment ("Paid Services"). Paid Services will remain in effect until the services have been completed, cancelled or terminated in accordance with these Terms. Unless otherwise stated, all fees for Live Oak Paid Services are to be paid in U.S. Dollars (USD). Transaction fees and additional fees may also apply to certain portions of Live Oak Services, and we will inform you about those fees before charging you.

Your Account. You may choose to create an account to use some of our Services. You are responsible for safeguarding your account, so use a strong password and limit its use to this account. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above. You may terminate your account agreement with Live Oak at any time by deactivating your account and discontinuing your use of the Services.

Discounts and Promotions. We regularly offer group discounts and bundled sales for our Live Oak Training and Webinar Events. The price applicable to a Live Oak Training Event will be the price at the time you complete your purchase of the course (at checkout).

Processing Your Payments. You agree to pay the fees for Live Oak Training Events that you purchase, and you authorize us to charge your debit or credit card or process other means of payment for those fees. Payment methods may include, but not necessarily be limited to processing of your payment via Stripe, Square, PayPal, wire transfer, bank check, or cash. Live Oak works with these third party payment processing partners ("Payment Processors") to offer you the most convenient payment methods in your country and to keep your payment information secure. The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor, in addition to these Terms. We reserve the right to correct, or to instruct our Payment Processors to correct any errors or mistakes.

Taxes. All fees are exclusive of applicable national, provincial, state, local or other taxes ("Taxes"), unless explicitly stated otherwise. You are responsible for all applicable Taxes and we will charge Taxes in addition to the fees for Services and products only when required to do so. If Live Oak has a legal obligation to pay or collect indirect Taxes (such as goods and services tax) on the sale to you under the laws of your country (where you are established, have a permanent address or usually reside), you shall be liable for payment of any such indirect Taxes. Where Live Oak does not have a legal obligation to pay or collect indirect Taxes on a sale of Paid Services to you, you may be required to self-assess those Taxes under the applicable laws of your country, province, state, or locality (where you are established, have a permanent address or usually reside).

Fee Changes. We may change our fees at any time. We will provide you with advance notice of these fee changes via the Services posted on our platforms and systems or via email communications. New fees will not apply retroactively.

Chargebacks and Disputes. If you contact your bank or credit card company to decline, dispute, chargeback or otherwise reverse the charge of any payable fees to us ("Chargeback"), we may automatically terminate your Registration in the given Services. If you have questions about a payment made to us, we encourage you to contact us at info@liveoakqa.com before filing a dispute or Chargeback. We reserve our right to dispute any Chargeback.

Term and Termination

We are constantly changing and improving our Services.  We may add or remove functions, features, content, or requirements, and we may suspend or stop a Service altogether. Accordingly, Live Oak may terminate your use of any Service for any reason and without notice. If your use of a Paid Service is terminated, a refund or substitution or credit may be available under our cancellations policies outlined above. None of Live Oak, including its officers, employees, contractors, and other agents shall have any liability to you for any such action. You may terminate your use of our Services at any time, although we'll be sorry to see you go.

Warranty Disclaimers

You understand and agree that the Services are furnished as is, where is, with all faults and without warranty of any kind, express or implied, including any warranty of merchantability or fitness for any particular purpose.

Limitation of Liability

Live Oak shall provide the Services with reasonable care but will not be liable for any losses which were not a reasonably foreseeable consequence of our breach of these Terms. These limitations apply to any theory of liability, whether based on warranty, contract, tort, negligence, strict liability or any other legal theory, whether or not Live Oak has been informed of the possibility of such damage, and even if a remedy set forth in these Terms is found to have failed its essential purpose. To the fullest extent permitted by applicable law, in no event shall the aggregate liability of Live Oak for all claims arising out of or related to the Services and these Terms exceed the paid fees for the Services in dispute.

Indemnification

You agree to indemnify, defend (if we so request), and hold harmless Live Oak and our officers, directors, suppliers, partners, and agents from and against any third-party claims, demands, losses, damages, or expenses (including attorney fees) arising from: a) the content you post or submit to Live Oak; b) your use of the Services; c) your violation of these Terms; or d) your violation of any rights of a third party.  Your indemnification obligation will survive the termination of these Terms and your use of the Services.

Waiver & Severability 

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. 

Privacy Policy

Our Privacy Policy explains how we collect, use and process or share your personal information.  Be sure to read it carefully. By using the Services, you confirm that you have read and understood our Privacy Policy. If you have any questions, comments, or concerns regarding privacy or security of your personal information, please contact us.

Live Oak understands that your privacy is important. Live Oak is committed to protecting your privacy and personal information you provide or as you access and use materials on liveoakqa.com (the "Site"), including the site subscription pages or workshop and webinar registration pages. In addition, information that you submit to Live Oak in response to an email request for information or other outreach from Live Oak, will be treated in accordance with this Privacy Statement.

Live Oak collects information from you when you sign up for our newsletter, submit a question, or register for workshops and other Live Oak-sponsored events.

Personal information that we collect includes: names, e-mail addresses, phone numbers, and financial information.

The purposes and uses of your personal information will depend on the use of the Site and the personal information provided. We process your personal information for the purposes of safeguarding the legitimate interests pursued by Live Oak. This includes:

  • Informing you about updates to our services, industry trends, and upcoming training events

We will not sell, share, or rent or otherwise make available your personal information to other parties. Any third parties will only process this information to the extent to which and within the limits that Live Oak itself is permitted to process that data.

Live Oak retains your personal information for so long as is necessary to fulfil the purpose for which it was collected.
